What is OriginSpark?
OriginSpark is an OriginClear venture that makes Bitcoin mining accessible to a wide range of investors by partnering with experienced mining operators and offering a structured investment model. It aims to deliver production-cost Bitcoin, potential tax benefits, and profit sharing for investors.
How does OriginSpark work?
OriginSpark forms joint ventures with established Bitcoin mining hosts who have operational expertise but need capital. Investors share in the profits and proceeds generated by those mining operations.
Why Bitcoin mining, and why now?
Bitcoin mining continues to grow rapidly and requires specialized infrastructure and low power costs. By accessing production-level mining for the lower price and tax advantages, and combining capital with operators, OriginSpark aims to provide investors with potential advantages over buying Bitcoin on the open market.
What are the primary investment opportunities?
OriginSpark plans multiple paths:
- Accredited investor offering — we’ve reserved up to $5M for ~7% in our wholly-owned subsidiary, OriginSpark Holdings, with preferred returns and early-investor benefits.
- Planned Regulation CF crowdfunding — intended to allow investors with as little as $500 to participate once launched. Crowdfunding investors can potentially benefit from a lower cost of Bitcoin acquisition, and the planned ability to keep distributions as unrealized gains; but not the depreciation and interest deductions that accredited investors may enjoy.
- Direct mining funds — tailored for family offices and high-net-worth groups with enhanced participation rights.
Do I actually benefit from mining rather than buying Bitcoin?
OriginSpark’s model seeks to let investors acquire Bitcoin at the production cost, which can be lower than retail market purchases, and offers profit distributions and potential tax efficiencies through structured returns.
What tax advantages are possible?
Accredited and institutional-grade investors may receive K-1 distributions that include bonus depreciation and interest deductions, which could lower the effective cost of holding mining-generated Bitcoin, depending on individual tax circumstances.

How is Bitcoin custody handled?
OriginSpark allows investors to hold their portion of mined Bitcoin as Bitcoin if desired; by default we intend to make custodial arrangements but we will work to make it so the investor can transfer to another custodial arrangement, including self custody.Holding as Bitcoin can potentially enable strategies to defer tax on unrealized gains or use the Bitcoin as collateral.
What partnerships does OriginSpark have?
OriginSpark intends to create multiple partnerships, including existing joint ventures with operators like Bitmern Mining and Block40X, which provide low-cost power and scalable facilities for mining operations. Multiple partnerships also reduces the risk of failure by one single operator.
How does OriginSpark manage operational risk?
OriginSpark diversifies risk by working with multiple proven mining partners rather than a single operator, reducing dependency on one facility or geography.
What is the role of low-cost power in mining?
Electricity is the largest cost in Bitcoin mining. OriginSpark’s partnerships aim to secure very low power rates (e.g., below 4¢/kWh) to help improve profit margins.
